Effective date: July 31, 2026 These Terms of Use govern your access to and use of the website operated by Braeden Kershner Creative, LLC, doing business as Local Market Signal, referred to as “Local Market Signal,” “we,” “us,” or “our.” By accessing or using the website, you agree to these Terms. If you do not agree, do not use the website. 1. Website Purpose The website provides general information about Local Market Signal, its reporting plans, sample materials, and ways to contact the business. Website content is for general informational and promotional purposes. Submitting a form, requesting a call, or receiving a response does not create a customer relationship, reserve a market, or obligate either party to purchase or provide services. 2. Paid Services Require a Separate Agreement Paid services begin only after Local Market Signal and the customer accept a written order form, proposal, statement of work, service agreement, or similar written confirmation that identifies the reporting plan, defined industry, geographic market, covered business locations, included deliverables, price, billing date, start date, and any special terms. If a separate written customer agreement conflicts with these website Terms, the customer agreement controls for the paid services covered by that agreement. 3. Plan Descriptions and Pricing Website descriptions and prices are current when posted but may be changed prospectively. Expanded Signal and other custom work require an approved scope and price. Taxes, optional services, additional markets, additional locations, implementation work, and custom deliverables may be charged separately when disclosed and accepted in writing. Market Watch is intended to provide market-level intelligence and does not focus on one particular business. Business Signal adds business-specific monitoring and practical direction. Neither plan includes website editing, search engine optimization implementation, social media publishing, advertising management, content production, or other execution services unless included in a written customer agreement. 4. Month-to-Month Billing and Cancellation Unless a customer agreement states otherwise, recurring plans are billed monthly in advance and continue month-to-month until canceled. A customer may cancel before the next billing date by giving written notice through the contact method stated in the customer agreement. Cancellation takes effect at the end of the current paid billing period. Monthly charges are nonrefundable once a billing period begins, except when required by law or expressly stated in a customer agreement. No prorated refund is provided for a partial month, unused report, delayed customer response, or decision not to use a delivered report. Local Market Signal may suspend work for overdue invoices and may terminate services as provided in the customer agreement. 5. Customer Responsibilities Customers are responsible for providing accurate scope information, timely feedback, lawful instructions, and any access or materials reasonably needed to perform the agreed services. A customer who provides data, content, credentials, account access, or other materials represents that the customer has the authority and necessary permission to provide them for the agreed purpose. Customers must not provide passwords or sensitive personal information through the public website form. Any authorized account access for paid services should be arranged through a method approved by Local Market Signal. 6. Reports and Third-Party Information Reports may rely on public sources, customer-authorized information, search engines, map platforms, review platforms, websites, social platforms, artificial intelligence services, and other third-party sources. Those sources may change, restrict access, personalize results, contain errors, or become unavailable without notice. Search results may vary by location, device, account, history, language, time, and platform methodology. Local Market Signal seeks to use a consistent observation process and to distinguish evidence, interpretation, limitation, and recommendation. Reports are snapshots of the sources and conditions observed during the stated period. They are not comprehensive audits of the entire market and do not represent that every relevant source, customer, competitor, transaction, or market event has been captured. 7. No Performance Guarantee Local Market Signal does not guarantee search rankings, map placement, leads, appointments, sales, revenue, market share, investment performance, customer behavior, or any other business result. Visibility does not necessarily equal traffic, leads, transactions, market share, or revenue. Recommendations involve judgment and may not produce a particular outcome. 8. Ownership and Permitted Use The website, brand, methodology, designs, copy, report templates, sample reports, graphics, and other materials created by Local Market Signal are owned by Braeden Kershner Creative, LLC or used with permission and are protected by applicable intellectual property laws. You may view the website and public samples for your own lawful evaluation of the services. You may not copy, reproduce, republish, distribute, sell, sublicense, remove watermarks from, create competing templates from, scrape, or commercially exploit website content or sample reports without prior written permission. A paying customer's right to use and share a purchased report is governed by the applicable customer agreement. Unless that agreement says otherwise, reports are licensed for the customer's internal business use and may be shared with the customer's employees and professional advisors who have a legitimate need to review them. Public distribution, resale, publication, white labeling, or client delivery requires written permission or a plan that expressly includes those rights. 9. Acceptable Use You may not use the website to violate law, infringe another person's rights, submit unlawful or malicious material, impersonate another person or business, interfere with website operation or security, attempt unauthorized access, introduce malware, harvest information, or use automated means to copy or extract website content except as permitted by law and our written authorization. 10. Third-Party Names, Platforms, and Links Reports and website content may refer to third-party businesses, platforms, trademarks, reviews, search results, or public content for identification, comparison, commentary, or analysis. Such references do not imply sponsorship, affiliation, endorsement, or approval by the third-party. The website may contain links to third-party websites. We do not control and are not responsible for third-party content, availability, security, terms, or privacy practices. 11. Privacy Our collection and use of personal information are described in the Privacy Policy linked on the website. By submitting information, you represent that the information is accurate and that you are authorized to provide it. 12. Disclaimer of Warranties To the fullest extent permitted by law, the website and its content are provided “as is” and “as available.” Local Market Signal disclaims warranties of merchantability, fitness for a particular purpose, title, noninfringement, accuracy, availability, and freedom from harmful components to the extent such warranties may lawfully be disclaimed. Some jurisdictions do not allow certain warranty exclusions, so part of this section may not apply to you. 13. Limitation of Liability To the fullest extent permitted by law, Braeden Kershner Creative, LLC, and its owners, employees, contractors, and agents will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, lost revenue, lost data, lost business opportunity, reputational harm, or business interruption arising from or related to the website or website content. To the fullest extent permitted by law, total liability arising from the website or these Terms will not exceed the greater of one hundred dollars or the amount you paid directly to Local Market Signal for the specific website-related matter during the three months before the event giving rise to the claim. Liability arising from paid services may be subject to a different limit in the applicable customer agreement. These limitations do not apply where they are prohibited by law. 14. Indemnification To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Braeden Kershner Creative, LLC and its owners, employees, contractors, and agents from third-party claims, damages, liabilities, losses, and reasonable costs arising from your unlawful use of the website, your violation of these Terms, your infringement of another person's rights, or materials you submit without proper authority. This obligation does not apply to the extent a claim was caused by the party seeking indemnification. 15. Changes and Website Availability We may modify, suspend, or discontinue website content or features. We may update these Terms prospectively by posting the revised version with a new effective date. Continued use after the effective date of revised Terms constitutes acceptance to the extent permitted by law. 16. Governing Law These Terms are governed by the laws of the State of South Carolina, without regard to conflict of law principles. Any dispute that is not governed by a separate customer agreement will be brought in a court of competent jurisdiction in South Carolina, and each party consents to that court's jurisdiction to the extent permitted by law. 17. General Terms If any provision is found unenforceable, the remaining provisions will remain in effect, and the unenforceable provision will be limited or replaced to the minimum extent necessary to make it enforceable. Our failure to enforce a provision is not a waiver. You may not assign rights under these Terms without our written consent. These Terms, together with the Privacy Policy and Service Disclaimer, form the entire agreement concerning use of the website unless a separate written agreement applies. 18.
